Terms of Service
In short
These terms are the agreement between your travel agency and {{PLACEHOLDER: company legal name}} for using TripGate.
You own your data. You pay in advance for a plan, and you can cancel at any time. We keep the service running and your data safe.
1. Acceptance of Terms
By creating a workspace or using TripGate, you agree to these terms, the Privacy Policy and the Acceptable Use Policy.
If you accept on behalf of an agency, you confirm that you have the authority to bind it. In these terms, "you" means that agency.
2. Eligibility and Account Registration
TripGate is for registered travel businesses. It is not for personal use.
- Every user must be at least 18 years old.
- Give accurate details when you sign up, and keep them up to date.
- Each user has their own login. Do not share logins.
- Keep passwords safe. We recommend turning on two-factor login.
- You are responsible for everything done by the users in your workspace.
3. SaaS Services and Permitted Use
TripGate is an online workspace for travel agencies. It helps you handle inquiries, build itineraries, manage hotel rates and send documents to travellers.
Your plan decides which features you get. We improve the service over time. We may change or remove a feature, but we will not remove a core feature of your plan during a paid period without telling you first.
You may use TripGate only for your own agency's business.
4. Customer Responsibilities and Prohibited Conduct
You are responsible for:
- The content you put into TripGate, and making sure it is lawful.
- Having the right to use your travellers' personal data, and telling them how you use it.
- Checking anything prepared with AI before you send it. AI can make mistakes.
- The prices, bookings and promises you make to your travellers.
You must follow the Acceptable Use Policy. It lists what is not allowed.
5. Subscriptions, Fees, and Payment
- New workspaces start with a free trial. Its length is shown when you sign up. The trial ends without any charge unless you choose a plan.
- Plans are billed in advance, monthly or yearly. Payments are processed by OnePay.
- Prices are shown on the pricing page and in Billing. Taxes are added where the law requires.
- We will tell you at least 30 days before a price change. The new price applies from your next billing period.
If a payment fails, your workspace keeps working for a short grace period, which is shown in Billing. If the bill is still unpaid after that, the workspace is suspended until it is paid.
Refunds are covered by the Refund and Cancellation Policy.
6. Intellectual Property Rights
{{PLACEHOLDER: company legal name}} owns TripGate: the software, design and brand.
You own your content, such as your inquiries, itineraries, rates, files and logos. You give us permission to store and process it only so we can run the service for you.
If you send us feedback, we may use it to improve TripGate without owing you anything.
7. Customer Data and Confidentiality
We handle personal data in your workspace as your processor, under the Data Processing Agreement. It forms part of these terms.
We do not sell your data. We do not use it to train AI models.
Each side keeps the other's confidential information private and uses it only for this agreement.
8. Warranty Disclaimer and Service Availability
We work to keep TripGate available and secure. We give notice of planned maintenance where we can.
Apart from what these terms say, TripGate is provided "as is". We do not promise it will be uninterrupted or error-free.
AI features read emails and rate sheets and suggest content. We do not guarantee that their output is accurate. You must check it.
9. Limitation of Liability
Our total liability under these terms is limited to the fees you paid us in the 12 months before the claim.
Neither side is liable for indirect or consequential losses, such as lost profits or lost bookings.
These limits do not apply where the law does not allow them to.
10. Indemnification
You will cover our reasonable costs if a third party makes a claim against us because of your content, or because you broke these terms or the law.
11. Term, Suspension, and Termination
- These terms apply for as long as you have a workspace.
- You can cancel at any time from Billing. Your plan stays active until the end of the current period.
- We can suspend a workspace for non-payment, or to stop a serious breach of these terms or a security risk. Where we can, we will tell you first.
- We can end the agreement if a serious breach is not fixed within 14 days of notice.
When the agreement ends, you can export your data for 30 days. After that, we delete it. We keep invoices for as long as tax law requires.
12. Governing Law and Dispute Resolution
These terms are governed by the laws of Sri Lanka.
If a dispute comes up, please contact us first. We will try to resolve it within 30 days. If that does not work, the courts of {{PLACEHOLDER: city whose courts hear disputes}} will decide it.
13. Amendments to Terms
Each version shows its number and effective date at the top of this page. When we make a material change, we tell workspace admins by email or in the app before it takes effect.
If you keep using TripGate after a change takes effect, you accept the new terms. Users are asked to accept the new version when they next log in.
